Your board needs risk and resilience capability in the room, not just in a paper delivered to you.
Boards govern risk. The quality of governance depends on whether the people in the room can read the papers correctly. Where the firm operates in a regulated industry, an asset-intensive industry, or any sector where catastrophic loss is plausible, governance is materially better when at least one director can challenge the risk and resilience reporting on its own terms.
Kybernetix takes a small number of governance appointments. The cap is intentional. Counsel and advisory work generates conflicts of interest that need to be managed; we manage them by limiting the scale of the governance practice, not by extending it.
Three Appointment Types
Independent Director or Non-Executive Director
Selected board appointments where the value-add is risk and resilience capability. The principal is a Chartered Member of the Institute of Directors and brings senior executive risk experience to the board table. We are open to first-tier board appointments in firms where the work fits within the conflicts framework.
Board Sub-Committee Chair
Chairing of risk, audit, or health, safety and wellbeing sub-committees. Sub-committee chair work is often the most useful form of governance contribution we can make because it provides depth on a defined remit without diluting attention across the full board agenda.
External Advisor to Board or Executive Team
Permanent advisor on standing invitation. Not a director. Attends defined meetings. Provides written counsel. This appointment type exists for situations where the board values continuous access to the practice’s perspective without the formal accountabilities of directorship.
How We Manage Conflicts
Governance appointments are managed within a formal conflicts policy. We do not accept counsel or advisory engagements with firms where we hold a current governance appointment, and we do not accept governance appointments at firms where we hold an active counsel or advisory engagement, except by explicit board approval and with the conflict on the record. How Appointments Arise
Most governance appointments are relationship-led, not search-led. They tend to come from chairs and chief executives who have worked with the practice in another mode and want continued access in a structured way. We are open to enquiries from search firms and nomination committees, with the understanding that the conflicts policy applies.
